Your Agreement with HWCHQX

Please read these Terms of Service carefully before using the HWCHQX platform.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and HWCHQX regarding your use of our platform and services (the "Service"). By accessing, registering for, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

2. User Accounts and Responsibilities

When you create an account with us, you must provide information that is accurate, complete, and current. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for all activities that occur under your account and for safeguarding the password and any other credentials used to access the Service.

You agree not to disclose your password to any third party and must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Acceptable Use Policy

Violate any applicable local, state, national, or international law, including but not limited to HIPAA.

Infringe upon or violate our intellectual property rights or the intellectual property rights of others.

Transmit any material that is abusive, harassing, defamatory, obscene, fraudulent, or otherwise objectionable.

Transmit any viruses, Trojan horses, worms, or other malicious code.

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.

Reverse-engineer, decompile, or otherwise attempt to discover the source code of the Service.

By providing your phone number and consenting to receive SMS communications from HWCHQX, you expressly agree to the following terms:

Your consent to receive SMS messages is voluntary and is not a condition of purchasing or using any HWCHQX services. You may decline to receive SMS messages and still use our platform.

The number of messages you receive will vary based on your appointment schedule and notification preferences. We typically send appointment reminders, confirmations, and important updates.

Standard message and data rates from your wireless carrier may apply to SMS messages sent by HWCHQX. HWCHQX is not responsible for any charges incurred from your mobile carrier.

SMS messaging requires a compatible wireless device and service plan. Not all mobile carriers or plans support SMS messaging.

5. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of HWCHQX and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

You retain all rights to any data, information, or material that you upload or provide to the Service ("User Content"). You grant HWCHQX a limited, non-exclusive, worldwide, royalty-free license to use, copy, reproduce, process, adapt, modify, and display your User Content solely for the purpose of providing and improving the Service.

6. Disclaimers and Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. HWCHQX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HWCHQX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL HWCHQX'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO HWCHQX FOR THE PAST TWELVE MONTHS FOR THE SERVICES IN QUESTION.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate your account by discontinuing use of the Service and providing us with a notice of termination.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in Wilmington, Delaware.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
